On the Dissolution of Three-Party Partnerships via a Buy-Sell Mechanism

Abstract

How to dissolve a three-party partnership? Three and more partners partnerships do exist. While the dissolution of two-party partnerships and of analogous business relations was widely discussed, not so for a three-party partnership where the partners initially own arbitrary shares of the firm. Even the possible rules for such dissolution are not quite clear. Assuming some rule, one need to optimize partners’ strategies. The efficiency and fairness of such arrangement need then to be investigated. The methods of dissolution that we discuss extend the buy-sell procedure of two partners.
